Please read these Terms of Service ("Terms") carefully before using Joust. By creating an account or using the service, you agree to be bound by them.


1. About Joust

Joust is a business management platform for freelancers and agencies, providing tools for project management, proposals, contracts, invoicing, time tracking, and client portals. It is operated by Joust Technologies Ltd ("Joust", "we", "us"), a company registered in England and Wales.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use Joust. By using the service, you confirm that you meet these requirements.

If you are using Joust on behalf of a business, you confirm that you have authority to bind that business to these Terms.


3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Please notify us immediately at contact@withjoust.com if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently or abusively.


4. Subscriptions and payment

Subscription fees
Access to certain features of Joust requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, as selected at sign-up. All prices are shown exclusive of VAT where applicable.

Payment processing
Subscription payments are processed by Stripe. By subscribing, you authorise Stripe to charge your chosen payment method on a recurring basis. Payment links sent to your clients are processed via Stripe or TrueLayer (open banking).

Free trials
Where a free trial is offered, it will convert to a paid subscription at the end of the trial period unless you cancel beforehand.

Cancellation and refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will retain access until that date. We do not offer pro-rata refunds for unused time, except where required by law.

Price changes
We may change our pricing from time to time. We will give you at least 30 days' notice of any price increase, and you may cancel before the new price takes effect.


5. Acceptable use

You agree not to use Joust to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of any third party
  • Send unsolicited communications (spam) to your clients
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to Joust's systems or another user's account
  • Resell or sublicense access to Joust without our written permission
  • Use Joust for any purpose that is unlawful, fraudulent, or harmful

We reserve the right to suspend or terminate your access if we reasonably believe you are in breach of this section.


6. Your content

You retain ownership of all content you upload or create in Joust, including proposals, contracts, invoices, and client data ("Your Content").

By using Joust, you grant us a limited, non-exclusive licence to store, process, and display Your Content solely to provide the service to you. We do not claim any ownership over Your Content.

You are responsible for ensuring that Your Content and your use of Joust comply with applicable law, including data protection law. In particular, if you upload personal data about your clients, you are acting as a data controller for that data — see our Privacy Policy for further detail.


7. Client portals

Joust allows you to share secure portal links with your clients. You are responsible for the accuracy of documents shared via client portals (including proposals, contracts, and invoices) and for ensuring you have appropriate authority to request signatures or payments from your clients.

Joust is a platform — we are not a party to any agreement entered into between you and your clients.


8. Intellectual property

All intellectual property in the Joust platform, including its software, design, and branding, is owned by Joust Technologies Ltd or its licensors. These Terms do not grant you any rights to our intellectual property other than the limited right to use the service as described here.


9. Availability and changes to the service

We aim to keep Joust available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, introduce new features, or modify or discontinue parts of the service at any time.

If we discontinue the service entirely, we will give you reasonable notice and provide a way to export Your Content.


10. Disclaimer of warranties

Joust is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that Joust will be error-free, uninterrupted, or free from security vulnerabilities.


11. Limitation of liability

To the fullest extent permitted by applicable law, Joust's total liability to you for any claim arising out of or relating to these Terms or your use of the service shall not exceed the greater of:

  • the total fees paid by you to Joust in the 12 months preceding the claim, or
  • £100.

We are not liable for any indirect, consequential, incidental, or special loss, including loss of profits, loss of data, or business interruption, even if we were advised of the possibility of such loss.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.


12. Indemnity

You agree to indemnify and hold harmless Joust Technologies Ltd and its officers, employees, and contractors from any claims, losses, or damages (including reasonable legal fees) arising from:

  • your use of Joust in breach of these Terms
  • Your Content
  • your relationship with your clients, including any dispute arising from a proposal, contract, invoice, or payment

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of Joust shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the EU, you may also have rights under the laws of your country of residence that cannot be waived by this clause.


14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Continued use of Joust after that date constitutes acceptance of the updated Terms.


15. General

Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Joust regarding the service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
